Confidentiality
First the NDA, then the documents. And every copy carries a name.
In most deals the NDA is signed separately, by email, while the files are already going around. In kVDR the agreement sits at the door of the data room: guests read it and accept it before they get in. And the PDFs they open or download come out watermarked with the name of whoever took them.
A PDF without a name can end up anywhere
When a confidential document leaks out of a deal, the first question is always the same: who did it come from? If every copy is identical, there is no answer. kVDR stamps the PDF, at the moment it is opened or downloaded, with the email and the other details you choose of the person taking it. It does not stop anyone photographing the screen; it does make clear, on every page, who that file was handed to.
How it works
-
Write the agreement into the room
In the data room settings, on the NDA tab, you paste the text of your confidentiality agreement. Every time you change it, the version goes up by one on its own: you always know which text is in force.
-
The guest accepts before getting in
External guests receive the invitation by email, already warned that they will have to accept an NDA. On the invitation page they read the text and tick “I accept the NDA”: without that tick, the button to enter stays disabled.
-
Every PDF leaves with a name
With the watermark on, the server applies it to PDFs when they are opened in preview or downloaded: email, name, date and time, room name and, if you like, a line of your own such as “Confidential — Internal use”.
Every page remembers who it was handed to.
What you can do
-
The acceptance is kept on record
For every acceptance kVDR keeps the email, the agreement version, date and time, IP address and browser, and a copy of the text exactly as it was at that moment.
-
New text, new acceptance
An acceptance applies to one specific version. If you amend the agreement, anyone who comes through the invitation after the change finds the updated text to accept.
-
What the watermark says
You choose what appears: email and name of whoever opens the file, date and time, data room name, a custom text. The items are combined into a single line.
-
Position, colour, intensity
Diagonally across the page, in the header and footer or in the centre; five colours and adjustable opacity, with a preview that updates as you choose.
-
Protected viewer
Documents are read inside kVDR, in a dedicated window. There, right-click and the Ctrl/⌘+S and Ctrl/⌘+P shortcuts do not work, and the download button only appears for people allowed to download.
-
One rule for the whole company
The watermark is set up once and applies to every data room in the company: no deal starts without it by mistake.
Frequently asked questions
Does the watermark prevent screenshots?
No. kVDR does not block screenshots or photos of the screen. The watermark does something else: it makes the person the document was handed to recognisable on every page. In the viewer, only right-click and the save and print shortcuts are disabled.
Which files does the watermark apply to?
To PDFs, both in preview and on download. Other formats — Word, Excel, images — download exactly as they were uploaded: if a document must leave with a watermark, upload it as a PDF.
Does the NDA also apply to internal colleagues?
The NDA is meant for people coming in from outside: guests accept it on the invitation page, before they see the room. Internal colleagues sign in with their own Kamzan account, and what they see is decided by their groups’ section permissions.
