Preparing the data room
An index advisors recognise at first glance
You create the data room, pick which of thirteen indexes to start from — from legal due diligence to an IPO — and every document already has a numbered section waiting for it. Whoever comes in knows where to look without asking.
A shared folder is not a data room
When the documents of a due diligence travel through email attachments and shared folders, everyone orders them their own way and the same questions come back every day: where is last year’s balance sheet, who has the supplier contracts. kVDR starts from a numbered index built on due diligence checklists: everyone — seller, buyer, advisors — reads the same structure, and each section then becomes the unit for deciding who sees what.
How it works
-
Create the room
Give the deal a name and a description and choose the index template: full, legal, financial, tax, IT, ESG or real estate due diligence and more, or “Custom” to start from scratch.
-
Fit the index to the deal
Add the sections that are missing, or apply a second template to the room you already opened: its sections add up to the existing ones. A legal due diligence also becomes a tax one in one click.
-
Fill it and hand it over
Documents are uploaded into their section. When the deal is done you export the whole room as a ZIP file: one folder per section, with its number, plus a summary of questions and answers.
Every document has a number and a place.
What you can do
-
Thirteen ready-made indexes
Full, legal, financial, tax, employment, environmental (ESG), real estate, IT, commercial, insurance and regulatory due diligence, plus fundraising and IPO.
-
Numbered sections
Each template comes with sections and subsections already numbered — 1.0 Corporate, 1.1 Articles of association — so an advisor can quote “3.2” and everyone knows what they mean.
-
Templates that add up
If the scope of the deal widens, you apply another template to the existing room: the new sections arrive next to the old ones, without touching the documents already uploaded.
-
Every deal at a glance
The list of rooms, as cards or as a table, shows for each one its status, template, number of documents and latest activity: who did what, and when.
-
Search inside the room
Type two letters and you find documents by name or description and questions by subject or text. Everyone sees only results from the sections they have access to.
-
Export in a single file
Whoever manages the room downloads it whole as a ZIP, with folders in index order and the summary of questions and answers: the copy to keep once the deal is closed.
Frequently asked questions
Can I start from an empty index?
Yes. Choose “Custom” when you create the room and add sections one at a time. If halfway through you need a ready-made structure, you can still apply a template later.
How many data rooms can I open?
The maximum number of data rooms is part of the plan your company chooses. Archived rooms do not count towards the limit: finished deals do not take room away from new ones.
What does the exported ZIP contain?
All the documents in the room, split into one folder per section named with the index number and name, plus a text file with the questions, their status and the answers given. It is downloaded by whoever manages the room and has the export privilege.
