Running the deal

Due diligence questions no longer get lost in email

Every question has a number, a subject, a priority and a status. Participants in the data room ask, the people managing it answer, and whoever asked gets an email when the answer is ready: one list, not twenty email threads.

A deal is also won or lost on its questions

In a due diligence, advisers’ questions come from everywhere: emails with ten people in copy, phone calls, notes in the margin. Two weeks later nobody knows which ones were answered, who was supposed to answer and what was said. kVDR collects them in the same data room as the documents: each has its own number and status, and the answers stay written under the question, with author, date and time.

How it works

  1. The reviewer asks the question

From the data room you open “New question”, write the subject and text and choose the priority: low, medium or high. The question gets a sequential number and appears in the list as open.

  2. The room managers answer

The answer is written under the question. Only the people who manage the data room can answer: with the first reply the status moves from open to answered, and whoever asked gets an email with a direct link.

  3. It is closed once resolved

Once the point is clear the question is closed; if the topic comes back, it is reopened. Questions asked, answers given and closures go into the activity log with name, date, time and IP address.

One question, one number, one written answer.

What you can do

  • Numbered and prioritised

Every question has a sequential number in the room — “number 14” is the same for everyone — and a low, medium or high priority you can read straight from the list.

  • Status always clear

Open, answered, closed: the list filters by status and the room summary counts the questions in each. You see at once what is still waiting for an answer.

  • Answers come from those responsible

Reviewers can ask, but only the people who manage the data room can answer. The answers that go on record come from those entitled to give them.

  • An email when the answer arrives

Whoever asked the question gets an email with the number, the subject and a direct link to the answer. No need to check back in the room every hour.

  • Found by search

The room search looks through the subject and text of the questions, alongside the documents: if a topic has already been raised, you find out before asking again.

  • On record with the rest of the room

Every question asked, answer given and closure is in the activity log. The room’s ZIP export includes a file with all the questions and answers, with authors and dates.

Frequently asked questions

Who can see the questions?

Questions are shared among the data room’s participants: there is a single list showing who asked each one and when. They are not private messages between the person asking and the person answering, so write them as you would to the whole table.

Which notifications are sent?

When an answer arrives, whoever asked the question gets an email with a direct link. New questions do not trigger an email: the room managers find them in the list by filtering for open ones.

Do questions and answers remain after the deal?

Yes. They stay in the data room even after it is closed or archived, and the ZIP export includes them in a text file next to the documents: the record of what was asked and answered is handed over with everything else.
